Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Onbrix CRM platform (the "Service") operated by SKBH Technology ("we," "us," or "our"). Onbrix is a product of SKBH Technology. Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features you use. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Onbrix is a cloud-based Customer Relationship Management (CRM) platform developed and operated by SKBH Technology, designed for small and medium-sized businesses. The Service includes, but is not limited to:
- Contact, lead, deal, and account management with custom modules and 22 field types
- AI-powered features including lead scoring, deal health analysis, data enrichment, next-best-action recommendations, email drafting, and call transcription
- Unified inbox for email, SMS, WhatsApp, and call communications
- Workflow automation, multi-step sequences, and scheduling
- Quotes/CPQ, invoicing, recurring billing, and payment processing
- Third-party integrations (Stripe, Twilio, Zoom, Xero, QuickBooks, Google, Microsoft, Zapier, and others)
- REST API, webhooks, and developer tools
- Customizable dashboards, analytics, and reporting
- Calendar, bookings, e-signatures, and document management
We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials, including your password and API keys
- All activities that occur under your account, whether or not authorized by you
- Promptly notifying us of any unauthorized access to or use of your account
- Ensuring that all users you invite to your team comply with these Terms
You must be at least 16 years old to create an account. Accounts registered by automated methods (bots) are not permitted.
4. Acceptable Use Policy
You agree not to use the Service to:
- Send spam or unsolicited messages: Use the email, SMS, WhatsApp, or calling features to send unsolicited bulk communications, spam, or messages in violation of applicable anti-spam laws (including CAN-SPAM, GDPR, and TCPA).
- Scrape or harvest data: Use automated scripts, bots, or crawlers to extract data from the Service, other users' accounts, or connected third-party platforms.
- Reverse engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service.
- Engage in illegal activities: Use the Service for any purpose that violates applicable local, state, national, or international laws or regulations.
- Interfere with the Service: Introduce malware, viruses, or other harmful code; attempt to gain unauthorized access to other accounts, servers, or networks; or disrupt the availability or performance of the Service.
- Impersonate others: Misrepresent your identity or affiliation with any person or organization.
- Exceed rate limits: Intentionally bypass or exceed API rate limits (100 requests/minute) or other usage restrictions.
- Resell without authorization: Sublicense, resell, or redistribute the Service to third parties without our prior written consent.
We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without prior notice.
5. User Data and Content
You own your data. All CRM data, uploaded files, documents, templates, and content you create or import into the Service ("User Content") remains your property. We do not claim ownership of your User Content.
By using the Service, you grant us a limited, non-exclusive license to host, store, process, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.
We do not sell your data. We will never sell, rent, or trade your User Content or personal information to third parties for marketing or advertising purposes.
Data export: You may export your data at any time using our CSV export functionality, REST API, or by contacting support. We support data portability and will assist with reasonable export requests.
6. Payment Terms
Onbrix offers multiple subscription tiers (Free, Starter, Professional, and Enterprise). Paid plans are billed through Stripe:
- Billing cycle: Subscriptions are billed monthly on a per-user basis. The billing date is set when you first subscribe.
- Plan upgrades: When you upgrade to a higher tier, the change takes effect immediately and you will be charged a prorated amount for the remainder of the current billing cycle.
- Plan downgrades: Downgrades take effect at the end of the current billing cycle. If the downgrade causes your usage to exceed the new plan's limits (e.g., users, records, or storage), you will need to reduce usage before the change takes effect.
- Seat management: You may add or remove team members at any time. Adding seats is prorated; removing seats takes effect at the next billing cycle.
- Failed payments: If a payment fails, we will attempt to charge the payment method up to 3 times over a 14-day period. If all attempts fail, your account may be downgraded to the Free tier.
- Refunds: We do not offer refunds for partial billing periods. If you cancel mid-cycle, you retain access to paid features until the end of your current billing period.
- Taxes: Prices are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or other taxes imposed by your jurisdiction.
7. Service Level
We target 99.9% uptime for the Onbrix platform, measured monthly, excluding scheduled maintenance windows. We will make commercially reasonable efforts to provide advance notice of scheduled maintenance via email or in-app notification.
The Service is provided "as is" and "as available." While we strive for reliability, we do not guarantee that the Service will be uninterrupted, error-free, or free of security vulnerabilities. Downtime for maintenance, updates, or events beyond our control (such as third-party service outages) is not included in uptime calculations.
8. Intellectual Property
The Onbrix platform, including its source code, design, user interface, documentation, branding, logos, trademarks, and all related intellectual property, is owned exclusively by SKBH Technology and is protected by copyright, trademark, and other intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include the right to:
- Copy, modify, or create derivative works based on the Service
- Use the Onbrix name, logo, or branding without prior written consent
- Access the Service for competitive analysis or benchmarking
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- No indirect damages: In no event shall SKBH Technology, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
- Liability cap: Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) $100 USD.
- No warranty: The Service is provided "as is" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full.
10. Indemnification
You agree to indemnify, defend, and hold harmless SKBH Technology, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content or data you process through the Service
- Your violation of these Terms or any applicable law
- Your violation of any third party's rights, including intellectual property rights or privacy rights
- Communications sent through the Service (emails, SMS, calls) that violate anti-spam or telecommunications laws
11. Termination
By you: You may close your account at any time from the Settings page or by contacting support. Upon closure, your access to the Service will be revoked and your data will be deleted in accordance with our Privacy Policy (within 30 days, backups within 90 days).
By us: We may suspend or terminate your account at any time if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay applicable fees after multiple reminders and a reasonable cure period
- We are required to do so by law, regulation, or court order
- Your use of the Service poses a security risk to us, other users, or third parties
Upon termination, we will provide you with a reasonable opportunity to export your data (at least 30 days for voluntary termination), unless termination is due to a serious violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
13. Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. Either party may initiate this process by sending a written notice describing the dispute to the other party.
If the dispute is not resolved within 30 days of the initial notice, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, United States, and be conducted in English.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Small claims exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
14. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you via email at least 30 days before the changes take effect
- Provide a summary of the key changes in the notification
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account before the changes take effect.

16. General Provisions
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SKBH Technology regarding the Service and supersede all prior agreements, understandings, and communications.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, or internet disruptions.
